Regarding company establishment

QHow long does it take to establish a corporation?
It depends on how it's established:
  • Mailed Completion Plan: Including document preparation in Japan (1-2 weeks), international mail (3-7 days), and registration in Georgia (2-3 days), the estimated total time is approximately 1.5 to 2 months.
  • On-site support plan: If you bring the necessary documents, company formation will be completed within the same day to a few days.
QWhat company structures can I choose from?
In Georgia, LLCs (Limited Liability Companies) are the most common. We will propose the optimal structure according to your business model, such as corporations, sole proprietorships, and others.

For IT-related businesses, we also support the establishment of IT Virtual Zone corporations (tax benefits for zero income sourced from abroad%).
QWhat is the minimum capital?
For LLCs in Georgia, the minimum capital requirement is very low at just 1 GEL (approximately 55 Japanese yen). In practice, there are almost no capital constraints.
QDo I need to have directors or shareholders located locally?
A resident director is not required. It is possible to become a director and shareholder while residing in Japan.

If necessary, we can also provide a nominee director. This can be utilized if a formal director is required locally.
QIf your company registration fails, will I get a refund?
In the unlikely event that your company formation is not approved during the government review, we will refund the prepaid amount minus actual expenses incurred (translation fees, postage, etc.).
However, refunds will not be issued in cases of incomplete documentation or false declarations by the customer.
QHow much are the ongoing maintenance costs after establishment?
The main maintenance costs are as follows:
  • Legal address maintenance fee: 300 USD/year (from the second year onwards. The first year is included in the setup fee)
  • Annual financial report creation: Separate estimate required (varies depending on business scale)
  • For zero declaration: Separate estimate
Even if there is no actual business operation, there is an annual reporting obligation, and closing expenses will be incurred.

About opening an account

QWhich bank can I open an account at?
We support the following major banks:
  • Bank of Georgia
  • TBC Bank
  • CREDO Bank
  • Pave Bank (Digital Bank, No Card Issuance)

QHow long does it take to open an account?
It depends on the bank's review status, but it usually takes about 2 to 3 weeks. In some cases, it may be completed in about a week.
If you use local support, the process tends to go more smoothly.
QCan non-residents open an account?
Yes, it is possible. However, for non-residents, the following conditions apply:
  • Corporate account: Business activities within Georgia are required (proof such as office lease agreement, client contract, etc.)
  • Digital Bank (Pave Bank): Proof of business activities may not be required

QIf my account opening is rejected, will I receive a refund?
In the unlikely event that your account opening is not approved due to the bank's screening process, we will refund the amount paid in advance, minus actual expenses (such as translation and mailing costs).
However, refunds will not be issued in cases of incomplete documentation or false declarations by the customer.

About Fees and Payment

QHow can I pay the fee?
For the mail-in completion plan:
  • Prepayment: 50% of the cost%
  • After completion: 50 remaining%
For on-site support plans:
  • Same day: Full payment
You can use it with reduced risk through installment payments.
QWill there be any additional charges?
Basically, no additional costs will be incurred, but the following costs will be necessary separately:
  • Apostille certification fees: Actual costs when obtaining within Japan
  • International shipping cost: Actual cost
  • Bank account maintenance fees: Varies by bank

QHow much do you save with the set plan (company establishment + bank account opening)?
The set plan offers a $1,000 discount by combining company incorporation ($3,000) and corporate bank account opening ($2,000) for a total of $5,000, which becomes $4,000.
Additionally, since it eliminates redundant procedures and shortens the timeframe, most customers choose the set plan.

Regarding documents and procedures

QWhat are public seal verification and apostille?
Both Apostille and "Kōin Kakunin" (official seal confirmation) are certifications by the Ministry of Foreign Affairs for public documents issued by Japanese government agencies, local authorities, and the like.

This is required when you need to submit Japanese public documents for various procedures abroad (marriage, divorce, birth, visa acquisition, company establishment, real estate purchase, etc.) and the submitting organization asks you to obtain a certificate from the Ministry of Foreign Affairs, or when obtaining authentication by a consul of the destination country's embassy or consulate general in Japan (consular authentication) is requested.

What is an apostille?
This refers to the certification by the Ministry of Foreign Affairs based on the Convention Abolishing the Requirement of Legalisation for Foreign Public Documents (abbreviated as the Apostille Convention) (The Hague Convention of October 5, 1961). The destination country must be a contracting state to the Hague Convention. Obtaining an apostille allows the document to be used in the destination country as equivalent to a consular legalization by an embassy or consulate (general) in Japan.
Georgia is a signatory to the Hague Convention, so procedures can be handled with an apostille.

When a seal impression confirmation is required
Even if the destination country is a party to the Hague Convention, consular authentication may still be required, and a legalization of the seal may be requested. Please confirm in advance with the destination country or its embassy or consulate(s) in Japan. All certifications for public documents submitted to countries that are not parties to the Hague Convention will require legalization of the seal.
QCan I obtain an apostille authentication myself?
Yes, you can obtain it at the Ministry of Foreign Affairs. You will need to obtain it yourself.

Process for obtaining an Apostille
  1. Get a passport copy and a power of attorney notarized at a notary public's office
  2. Obtaining an Apostille from the Ministry of Foreign Affairs (in person or by mail)
  3. Mail authenticated documents to us

QHow do I create a power of attorney?
We will prepare the necessary power of attorney same-day. All you need to do is sign and have it notarized at a public notary office in Japan.

QWhat happens if there are deficiencies in the documents?
We will perform a preliminary check, so we can prevent any deficiencies before mailing.
In the unlikely event that there are any deficiencies, we may ask you to resubmit, and we will provide detailed support at that time as well.
QIs a virtual office required?
This is required for mail forwarding services. Georgia law requires a physical local address for incorporation. If you have a physical office at your location, you can use that address.

QFor sole proprietors, which plan is more suitable: individual or corporate?
For Japanese sole proprietors, the "Individual" plan is generally sufficient.
However, if you plan to establish a corporation in Georgia or require an account in the name of a corporation, please select the "Corporate" plan.

QIs a closing of accounts necessary from the first year of establishment?
Yes, you are obligated to submit annual financial reports from the year of incorporation. Even if there is no business activity, you must still prepare and submit financial statements as a zero filing.
All corporations are required to submit an annual financial report. Please be aware that failure to do so may result in penalties.
